Overview:

SourceBridge Co. is seeking experienced Transactional Attorneys to contribute to a confidential project at the intersection of law and AI.

 

In this role, you’ll apply your commercial contracting expertise to review agreements, redline drafts, analyze legal issues, and provide clear written reasoning behind contract revisions.

 

The work draws directly from day-to-day commercial contracting practice, including contract drafting, review, negotiation, and application of company policies and fallback positions.

 

No prior AI experience is required — your legal expertise is what matters.

 

 

Scope of Work:

• Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar contracts.
• Apply established playbooks, policies, and company positions when reviewing agreements.
• Analyze contract drafts to identify key legal and commercial issues.
• Determine applicable company positions and acceptable fallback outcomes.
• Draft clear, well-reasoned explanations for proposed redlines and revisions.
• Apply advanced knowledge of contract drafting, negotiation, and technology transactions.
• Collaborate with the project team to maintain consistency in legal standards and interpretations.
• Maintain meticulous attention to detail throughout contract review and analysis.
• Produce high-quality legal writing and structured contract feedback.
• Work independently in a remote, deadline-driven environment.
• Maintain confidentiality when handling project materials and information.

 

Requirements:

• Juris Doctor (JD) from an accredited law school.
• Active bar admission in a U.S. jurisdiction.
• Minimum 4 years of transactional legal experience at a law firm or as in-house counsel.
• Strong experience with commercial contract drafting, review, and negotiation.
• Deep familiarity with commonly negotiated provisions, including:
• Limitation of liability
• Indemnification
• Confidentiality
• Data protection
• Strong ability to analyze complex legal concepts and communicate conclusions clearly.
• Excellent written legal communication skills.
• Strong judgment and exceptional attention to detail.
• Ability to work independently in a remote environment.

 

Preferred Qualifications:

• Experience with technology transactions.
• Experience negotiating commercial agreements for technology companies.
• Familiarity with SaaS, software, data privacy, licensing, or technology-related contracts.
• Strong understanding of commercial risk allocation and negotiation strategy.
• Experience applying contract playbooks and standardized legal positions.
• Ability to adapt quickly to evolving project requirements.
• Interest in contributing to innovative projects at the intersection of law and AI.
